Terms of Service
These terms form the agreement between you and AdCare Digital for the use of our ad account management platform and prepaid wallet. Please read them before creating an account.

1. Agreement and acceptance
These Terms govern your use of the website at adcaredigital.com and the client dashboard at app.adcaredigital.com(the “Platform”), operated by AdCare Digital, a sole proprietorship owned by Nurus Shifa Rihan and registered in Bangladesh under Dhaka South City Corporation trade licence no. TRAD/DSCC/007948/2026. By registering an account or using the Platform you accept these Terms. If you do not accept them, do not use the Platform.
The Platform is offered for business use only. By registering you confirm that you are at least 18 years old and are acting for a business or professional purpose.
2. What the service is
AdCare provides advertising account management as a service. We hold advertising accounts within our own Meta Business Manager, share access to them with your Business Portfolio, and let you manage the funding of those accounts through a prepaid internal wallet. In practical terms:
- You add funds to an internal wallet denominated in USD.
- You use that balance to raise the spending limit of an ad account we manage for you.
- You run your own campaigns in Meta Ads Manager. AdCare does not create, target, or optimise your campaigns unless you separately engage our consultancy service.
Your access to the ad accounts is advertising access only. Billing and payment settings belonging to AdCare are not shared with you, and you must not attempt to access them.
3. Registration and approval
- You register as either a Company or a Marketer and must give accurate, complete and current information.
- Every new registration starts in a Pending Approval state. We review registrations and may approve or reject them at our discretion, including where information appears false or where the intended advertising conflicts with Meta’s policies or applicable law.
- On approval, your account becomes Active and a wallet is created for you.
- You are responsible for keeping your password confidential and for all activity under your account. Tell us immediately at support@adcaredigital.com if you suspect unauthorised access.
4. Wallet, deposits and exchange rate
- The wallet is a prepaid record of advertising credit. It is not a bank account, not a deposit-taking product, and it earns no interest.
- You fund it either by transferring money and submitting a transaction ID with a screenshot for manual verification, or through our online payment gateway.
- A deposit is credited only after an administrator approves it. Payment confirmed by the gateway marks a deposit as verified but does not by itself credit your wallet.
- We apply a static USD exchange rate set by AdCare and shown in your dashboard. That rate is used to convert your local currency deposit into your USD wallet balance. The rate may change; the rate in effect when a deposit is approved is the rate applied to it.
- You are responsible for making payments from an account you lawfully control. We may reject or reverse a deposit that appears fraudulent, duplicated, or unverifiable.
5. Top-ups and spending limits
- A top-up moves credit from your wallet to the spending limit of a nominated ad account. Top-ups may be requested only for accounts whose Meta status is Active.
- Every top-up requires administrator approval. On approval we call the Meta Marketing API to raise the account’s spend cap, and your wallet is debited.
- Meta treats the spend cap as a lifetime cap. A request that would set a cap at or below the amount already spent on that account will be rejected.
- If the Meta API call fails, the top-up is not applied and your wallet is not debited. Where a discrepancy nevertheless arises, we will reconcile it against Meta’s live figures and correct your ledger.
- Spending limits reflect capacity to spend, not a guarantee of ad delivery. Meta decides whether your ads run.
6. Rebalancing and refunds
- Internal rebalancing: you may request that unused funds be moved from an ad account back to your wallet — for example if you topped up the wrong account. This is an internal ledger adjustment, subject to the funds actually being unspent at Meta.
- Cash refunds: wallet balances are intended to be spent on advertising and are not automatically refundable. You may nevertheless request a refund of an unused balance to your bank or mobile wallet by writing to support@adcaredigital.com. We consider such requests case by case and may grant them at our discretion. Approved refunds are processed manually and outside the Platform, may be reduced by transfer charges and any amount already committed at Meta, and are returned only to a source you can be shown to control.
- Amounts already spent on advertising cannot be refunded by us in any circumstances.
7. Your responsibilities
You agree that you will not:
- advertise anything prohibited by Meta’s Advertising Standards or by the laws of Bangladesh or your target market;
- use the Platform for money laundering, fraud, or to move funds for another party without disclosing it;
- share your login, resell access to accounts we assign you, or transfer an account to someone else without our written agreement;
- attempt to reach billing settings, payment methods, credit lines, or other clients’ data;
- probe, scrape, overload or interfere with the Platform or its underlying infrastructure.
You remain fully responsible for the content, targeting and legality of the campaigns you run on accounts we manage for you.
8. Account status and Meta’s decisions
Ad accounts can be disabled, restricted or placed in an unsettled state by Meta for reasons that are Meta’s alone — most often policy violations in your campaigns. AdCare has no control over these decisions and does not guarantee that an account will remain active, that a disabled account can be recovered, or that Meta will approve any particular ad. Where an account is disabled or unsettled, top-ups are blocked until the status clears.
9. Suspension and termination
- You may stop using the Platform at any time and may ask us to close your account (see our Data Deletion page).
- We may suspend or terminate your access if you breach these Terms, if your activity puts our Meta Business Manager at risk, if we are required to by law or by Meta, or if we reasonably suspect fraud.
- On termination, we will tell you the remaining wallet balance. Any return of unused funds is handled under section 6.
- Sections that by their nature should survive termination — including fees owed, liability, and governing law — continue to apply.
10. Service availability
We aim to keep the Platform available but do not promise uninterrupted service. Maintenance, third-party outages, and failures at Meta or at our payment gateway can interrupt it. Approvals of deposits and top-ups are performed by our staff and are not instantaneous.
11. Disclaimers and limitation of liability
The Platform is provided “as is”. To the fullest extent permitted by law, we exclude all implied warranties, including merchantability and fitness for a particular purpose, and we make no promise about the commercial results of your advertising.
We are not liable for indirect or consequential loss, lost profits, lost revenue, lost data, or loss of business opportunity. Our total liability to you for all claims arising out of or relating to these Terms is limited to the total service fees you paid to AdCare in the three months before the event giving rise to the claim, excluding advertising spend passed through to Meta.
Nothing in these Terms excludes liability that cannot lawfully be excluded, including liability for fraud.
12. Indemnity
You agree to indemnify AdCare against claims, losses and reasonable legal costs arising from your advertising content, your breach of these Terms, or your violation of Meta’s policies or applicable law.
13. Changes to these Terms
We may update these Terms as the service develops. We will post the revised version here and update the date at the top. For material changes, we will notify active clients by email at least 14 days before they take effect. Continuing to use the Platform after that date means you accept the revised Terms.
14. Governing law and disputes
These Terms are governed by the laws of Bangladesh. Any dispute arising out of or in connection with them is subject to the exclusive jurisdiction of the courts of Dhaka, Bangladesh. Before starting proceedings, please contact us so we can try to resolve the matter directly.
15. General
- These Terms, together with our Privacy Policy, are the entire agreement between us regarding the Platform.
- If any provision is found unenforceable, the rest remains in force.
- Our failure to enforce a provision is not a waiver of it.
- You may not assign your rights under these Terms without our written consent. We may assign ours to a successor of our business.
